Thank you for using Haystack Intelligence, Inc. (doing business as Revlo) (“Haystack,” “we,” “our”).
These Terms of Service (the “Terms” or “Agreement”) govern your access to and use of all Haystack websites, applications, APIs, and related services (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not use the Services.
IMPORTANT: Section 16 (“Dispute Resolution & Arbitration”) contains a binding arbitration clause and class-action waiver that affect your legal rights. Please read it carefully.
1. Eligibility & Authority
You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding contract. If you use the Services on behalf of an entity, you represent that you are authorized to accept these Terms on its behalf.
2. Description of Services
Haystack provides AI-powered lead identification, data enrichment, workflow automation, and analytics. The Services may include free features, usage-based or credit-based features, subscription plans, and professional services (collectively, the “Subscription Services”). We may add, change, or discontinue features at any time for business or compliance reasons.
2.1 Beta / Preview Features
Certain features may be labeled “beta,” “preview,” or similar. Such features are provided as-is, may change without notice, and may be subject to additional terms.
2.2 Service Availability
We target 99.9% monthly uptime. If the entire Haystack platform is unavailable for more than six (6) continuous hours, you will receive a service credit equal to 5% of one week's subscription fees for each additional 6-hour period of downtime in that calendar month (maximum one week of fees per month). Credits are applied to future invoices only.
3. Account Registration & Security
You agree to provide accurate information, keep your credentials secure, and promptly update your account details. You are responsible for all activity that occurs under your credentials.
3.1 Community Conduct
If you participate in any Haystack community (e.g., Slack), you must treat others respectfully and must not misrepresent your identity, engage in phishing, distribute malware, run denial-of-service attacks, or conduct financial scams.
3.2 No Transfer
You may not transfer, sell, sublicense, or otherwise assign your account or credits without our written consent.

- We do not charge for basic usage on the Free plan, but we may introduce paid tiers or change prices at any time with 30 days' notice or by posting updated pricing.
- Paid subscriptions auto-renew at our then-current rates unless you cancel before renewal.
- Additional credits may be purchased in-app at the rate shown during checkout. Credits roll over indefinitely but are deleted on termination of the applicable subscription.
- All fees are non-refundable except as required by law or expressly stated in these Terms.
- You authorize us (or our payment processor) to charge your chosen payment method and you will maintain a valid payment method on file.
- Fees exclude all applicable taxes; you are responsible for taxes (other than those based on our net income).
5. License & Acceptable Use
5.1 License
During the Term, Haystack grants you a limited, non-exclusive, non-transferable right to access and use the Services solely for your internal business purposes, subject to these Terms.
5.2 Restrictions
You agree not to:
- Reverse-engineer, decompile, or attempt to discover source code.
- Copy, modify, or create derivative works (except as expressly permitted).
- Use the Services for timesharing, service-bureau, or other unauthorized commercial purposes.
- Resell any data or outputs obtained from Haystack without our permission.
- Introduce malware, overload, or interfere with the Services' operation.
- Upload or process personal health information (PHI) or payment-card data without a separate written agreement.
6. Data & Content
- Your Content. You retain ownership of data, files, and prompts you upload (“User Content”). By uploading User Content you grant Haystack a worldwide, non-exclusive, royalty-free license to host, process, display, and otherwise use that content to operate and improve the Services.
- Aggregated / De-Identified Data. We may compile and use aggregate statistics and usage data, provided they do not identify you or any individual.
- Generated Output. Output produced by Haystack's AI models is not guaranteed to be accurate and may be subject to copyright or other third-party rights. You are responsible for verifying its accuracy and lawful use.
- Data Security. We maintain industry-standard administrative, physical, and technical safeguards. In the event of unauthorized access to your data, we will notify you without undue delay.
- Data Retention. We may delete your User Content 30 days after termination unless otherwise required by law or agreed in writing.
7. Confidentiality
Each party may disclose “Confidential Information” to the other. The receiving party will protect such information with reasonable care and use it only for purposes of the Agreement. Obligations do not apply to information that is public, independently developed, or rightfully obtained without restriction.
8. Intellectual Property & Feedback
Haystack owns all right, title, and interest in the Services, software, and related IP. You grant us a perpetual, royalty-free license to use any feedback you provide.
9. Third-Party Services & Links
The Services may interoperate with or contain links to third-party services. Your use of those services is governed solely by their terms; Haystack is not responsible for them.
10. Modifications to the Services or Terms
We may modify the Services or these Terms at any time. We will provide notice of material changes (e-mail or in-product). Continued use after the effective date constitutes acceptance.
11. Term & Termination
- Term. These Terms begin when you first use the Services and continue until terminated.
- Termination for Convenience. You may stop using the Services and/or cancel any subscription at any time.
- Termination for Cause. Either party may terminate with written notice if the other materially breaches these Terms and fails to cure within 30 days.
- Effect of Termination. Access ceases; outstanding fees become immediately due; Sections 5-8 and 11-17 survive.
12. Warranty Disclaimer
Except as expressly stated, the Services are provided “as-is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or uninterrupted availability.
13. Limitation of Liability
To the fullest extent permitted by law:
- Haystack's aggregate liability arising out of or related to the Services will not exceed the fees you paid us in the twelve (12) months preceding the event giving rise to liability; and
- We will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or use, even if advised of the possibility.
14. Indemnification
You will indemnify and hold Haystack and its affiliates harmless from any third-party claim arising out of your breach of these Terms, your User Content, or your unlawful use of the Services.
15. Force Majeure
Neither party is liable for delay or failure caused by events outside its reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, or government actions.
16. Dispute Resolution & Arbitration
- Informal Resolution. Contact us at legal@revlo.ai before filing any claim. Most disputes can be resolved informally.
- Binding Arbitration. If we cannot resolve the dispute within 30 days, either party may commence binding arbitration administered by the American Arbitration Association in Seattle, Washington, under its Commercial Arbitration Rules. Judgment on the award may be entered in any court having jurisdiction.
- Class-Action Waiver. Disputes will be resolved only on an individual basis; class, consolidated, or representative actions are not permitted.
- Equitable Relief. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual-property or confidential-information rights.
17. Miscellaneous
- Governing Law. The laws of the State of Washington (without regard to conflicts-of-law rules) govern these Terms.
- Assignment. You may not assign this Agreement without our written consent. We may assign freely as part of a merger, acquisition, or sale of assets.
- Entire Agreement. These Terms constitute the entire agreement between you and Haystack regarding the Services and supersede all prior agreements.
- Severability. If any provision is unenforceable, it will be modified to reflect the parties' intention, and the remaining provisions will remain in effect.
- Electronic Communications. You consent to receive communications electronically.
- Headings. Headings are for convenience only and have no legal effect.
